By accessing or using Grossky’s Bharavi ("Platform"), SNPs ("You", "SNP") agree to these Terms of Use.

1. Services Provided

   Grossky provides a technology platform “Bharavi” enabling SNPs to onboard sellers, manage catalogs, orders, and integrate with ONDC.

2. Platform Access

   • We grant SNPs a non-exclusive, non-transferable, limited license to use our Platform, contingent upon compliance with these Terms.
   • SNPs must ensure all sellers they onboard adhere to ONDC guidelines.

3. Data Rights and Obligations

   • SNPs grant Grossky co-ownership rights over seller and transaction data as described in the Privacy Policy.
   • SNPs are responsible for accuracy of the data they upload.
   • SNPs must not upload illegal, offensive, or infringing content.

4. Use of Data

   Grossky may use transactional and seller data for:

   • Providing services,
   • Improving the Platform,
   • Training AI models,
   • Conducting market analysis.

   Grossky may retain non-PII transaction data after SNPs exit, as detailed in our Privacy Policy.

5. Intellectual Property

   • All software, documentation, logos, and trademarks are the exclusive property of Grossky.
   • SNPs may not reverse-engineer, reproduce, or create derivative works from our Platform.

6. Termination

   • Grossky may suspend or terminate SNP access for violations of these Terms or applicable laws.
   • SNPs may terminate with 30 days’ written notice. Upon termination, we will delete seller PII but retain non-PII transactional data.

7. Limitation of Liability

   Grossky will not be liable for indirect, incidental, special, or consequential damages arising from your use of the Platform.

8. Indemnity

   SNPs agree to indemnify Grossky against any claims, damages, or liabilities arising from:

   • Breaches of these Terms,
   • Violations of law by SNPs or their sellers.

9. Governing Law and Jurisdiction

   These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bhubaneshwar, Odisha India

10. Changes to Terms

    Grossky reserves the right to modify these Terms. Updated Terms will be posted on our website/platform.

11. Data Commercialization Rights

    1. By accessing and using the Platform, the SNP expressly acknowledges and agrees that Grossky Technology Pvt. Ltd. shall have the full and irrevocable right, title, and ownership over all data (including seller information, transactional data, and platform usage data) generated or collected through the Platform, subject to applicable laws.
    2. Grossky reserves the right to sell, license, distribute, or otherwise commercially exploit such data, in whole or in part, to third parties for its own business purposes at any time, including but not limited to:
       • Training Artificial Intelligence or machine learning models,
       • Conducting market analysis and generating industry reports,
       • Providing insights or data feeds to third-party clients.
    3. SNPs expressly consent to such collection, use, and commercialization of data by Grossky, and understand that acceptance of these Terms of Use constitutes unconditional agreement to this provision. SNPs who do not agree to these terms must refrain from using the Platform.
    4. Notwithstanding the foregoing, Grossky will comply with its Privacy Policy regarding deletion of personally identifiable information (PII) of sellers in the event of SNP termination, but retains perpetual rights to all non-PII transactional and usage data.
