This document includes the terms and conditions that you must accept before you access the Dp Bazaar platform (defined hereinafter). By registering, signing up, or by simply accessing and Browse the Dp Bazaar platform, you signify your absolute and unconditional agreement to all the provisions of this Agreement in their entirety.
This Agreement constitutes a legally binding contract between you (the user, buyer, or seller) and DP Bazaar, the owner, operator of Dp Bazaar and the OnDC-backed network company Dp Bazzar (SNP).You are strongly advised to read this Agreement carefully. If you do not agree to any of the terms and conditions, you must immediately discontinue using the platform and notify DP Bazaar.
Notwithstanding anything to the contrary in this Agreement, DP Bazaar shall not be bound by its terms unless and until it has executed this Agreement through a valid signature.
The terms “we”, “us”, “our”, or “Dp Bazaar” shall refer to DP Bazaar, and the terms “you”, “your”, “user”, “buyer”, “seller”, or “licensee” shall refer to any individual or entity who accesses the platform and agrees to be bound by this Agreement. Nothing in this Agreement shall be interpreted as conferring any rights or benefits to third parties not expressly mentioned herein.
The domain name www.dpbazaar.com_ including all related subdomains, mobile sites, mobile applications, and the Seller Dashboard (hereinafter collectively referred to as the “Platform” or “Dp Bazaar”), is owned and operated by DP Bazaar, a company incorporated under the Companies Act, 2013, with its registered office at 43/1A Malanga Lane, Kolkata - 700012.
The Platform facilitates transactions between Buyer Network Participants (BNPs), Seller Network Participants (SNPs), the logistics partners and any other party involved in the ONDC Network Ecosystem. Dp Bazaar does not directly control any transaction between users of the Platform. It acts as a limited intermediary by receiving payments from buyers and subsequently remitting the appropriate amounts to sellers and logistics partners after deducting applicable service fees.
Henceforth:
All commercial/contractual terms are offered by and agreed to between BNPs, SNPS, Logistics Partners and other Third party Apps. These terms include, but are not limited to, price, shipping costs, payment methods, payment terms, date, period and mode of delivery, warranties related to products and services, and after-sales services. Dp Bazaar does not have any control or involvement in the offering or acceptance of such terms between Buyers and Sellers. All discounts and offers (including exchange offers) are provided by the Seller/Brand and not by Dp Bazaar.
When a Buyer places an order with a Seller on the Platform, it is an offer to buy the product(s) from the Buyer to the Seller. This is not construed as the Seller's acceptance of the Buyer's offer. The Seller retains the right to cancel any order at its sole discretion, and the Buyer will be informed via email/SMS. If the Seller cancels an order, any transaction price paid by the Buyer will be refunded. The Seller may also cancel orders that exceed typical individual consumption, based on various factors and at the Seller's sole discretion.
Dp Bazaar makes no representation or warranty regarding the specifics (such as quality, value, salability, etc.) of the products or services proposed to be sold or purchased on the Platform. Dp Bazaar does not endorse the sale or purchase of any products or services on the Platform and accepts no liability for errors or omissions.
Dp Bazaar is not responsible for any non-performance or breach of any contract between Buyers and Sellers. It cannot guarantee that Buyers and/or Sellers will perform any transaction concluded on the Platform. While the primary responsibility for resolving any such dispute lies with the seller and the buyer, Dp Bazaar reserves the right to intervene, mediate, or take action to facilitate a resolution at its discretion.
Dp Bazaar does not make any representation or warranty regarding the item-specifics (such as legal title, creditworthiness, identity, etc.) of its Users. Users are advised to independently verify the bona fides of any particular User they choose to deal with on the Platform.
At no point during any transaction does Dp Bazaar come into possession of the products or services offered by Sellers, nor does it gain title to or have any rights or claims over them. Dp Bazaar does not hold any right, title, or interest over the products, and it has no obligations or liabilities in respect of the contract entered into between Buyers and Sellers. Dp Bazaar is not responsible for the unsatisfactory or delayed performance of services or damages or delays due to products that are out of stock, unavailable, or back-ordered.
The Platform is a communication platform that Users can utilize to reach a larger base for buying and selling products or services. Dp Bazaar provides a platform for communication, and it is agreed that the contract for the sale of any products or services is strictly a bipartite contract between the Seller and the Buyer. At no time does Dp Bazaar hold any right, title, or interest over the products, nor does it have any obligations or liabilities in respect of such contracts. Dp Bazaar is not responsible for the unsatisfactory or delayed performance of services or damages or delays due to products that are out of stock, unavailable, or back-ordered.
The use of the Dp Bazaar platform, software, and services is available only to, and may only be used by, individuals and entities who are capable of forming legally binding contracts under applicable law. Without limiting the foregoing, the software and services are not available to minors (persons under the age of 18 years).
If you are registering as a business entity, you represent and warrant that you have the authority to bind such entity to this Agreement and that the entity is eligible to enter into contracts under applicable law.
DP Bazaar may use various methods to verify the accuracy of the information you provide when registering on the Dp Bazaar platform. If, for any reason, Dp Bazaar believes that the information provided is inaccurate, false, or incomplete, it reserves the right to revoke any or all licenses granted under this Agreement or to refuse the software license and/or services to you, without liability.
To be eligible to sell products and/or services through the Dp Bazaar Platform, the Seller must first create an account on the Platform and provide all required information, including but not limited to business details, KYC, Product Description, Price, Offer, contact information, tax registrations, and bank account details.
Dp Bazaar reserves the absolute right to accept or reject any account application at its sole discretion, without assigning any reason.
The Seller is solely responsible for ensuring that the information provided in its account is accurate, complete, and up to date at all times. The Seller agrees to promptly update the Platform with any changes to their account information and to notify Dp Bazaar of any such changes without undue delay.
Failure to maintain accurate or provide updated data or information may result in suspension or termination of the Seller's access to the Platform and its services.
As a Seller on Dp Bazaar, you agree to comply with the following responsibilities at all times while using the Platform:
1. You must ensure that all products listed on the Platform comply with all applicable laws, rules, and regulations in India, including but not limited to the Legal Metrology Act and Rules, Consumer Protection laws, and other relevant guidelines. You are solely responsible for legal compliance in relation to your listings.
2. You must ensure that the details of each product listed by you—such as name, description, specifications, pricing, warranty, etc.—are complete, truthful, and up to date. Misleading or incorrect information may result in removal of listings or suspension of your account.
3. You are required to list only those products that are currently in stock and available for sale. If a product becomes unavailable or out of stock, you must promptly update the status or remove the listing to avoid customer inconvenience.
4. You are responsible for ensuring that all orders are shipped and delivered to customers within the delivery timelines promised on the Platform. Products must be packaged securely and safely to prevent any damage during transit.
5. You are solely responsible for all applicable taxes, duties, levies, and GST compliances related to the sale of your products. It is also your responsibility to obtain and maintain all licenses, registrations, or permits necessary to legally sell your products.
6. You must have full legal ownership or authorization to list and sell every product on the Platform. This includes intellectual property rights, brand authorizations (if applicable), and permissions required by law.
7. You agree not to engage in any activity that is false, misleading, or fraudulent. This includes misrepresenting the product’s quality, features, brand, condition, or authenticity, or manipulating product reviews or ratings.
8. You are expected to maintain a high standard of customer service. This includes timely response to buyer queries, fair handling of returns or complaints, and adherence to the policies of Dp Bazaar related to customer satisfaction.
Failure to meet these obligations may result in penalties, suspension, or permanent removal from the Platform.
As Dp Bazaar operates as a Network Participant within the Open Network for Digital Commerce (ONDC) framework, both Dp Bazaar and its Sellers are required to follow certain mandatory guidelines, rules, and standards issued by ONDC from time to time.
By registering as a Seller on Dp Bazaar, you expressly agree to the following:
1. You shall fully comply with all directives, protocols, and standards issued by ONDC, which may cover areas such as: Product catalog formatting and data quality, Order processing and fulfillment timelines, Delivery procedures and SLAs, Order cancellation policies, Customer grievance redressal and return handling.
2. You authorize Dp Bazaar to share your necessary business and transactional information, catalog details, and content with ONDC and its associated entities, as per the ONDC’s data sharing norms and privacy protocols.
3. As an ONDC-compliant platform, Dp Bazaar may modify, structure, or reformat your data to align with ONDC’s standardized formats and technical protocols. This may include catalog restructuring, product tagging, or metadata changes to ensure interoperability within the ONDC network.
4. Your continued use of the Dp Bazaar platform and visibility on the ONDC network is subject to your strict adherence to ONDC guidelines. Non-compliance may result in removal from the network or suspension of services through Dp Bazaar.
This clause is binding and forms a critical part of your agreement with Dp Bazaar. Your cooperation ensures smoother operations and helps promote trust and transparency within the broader ONDC ecosystem.
By listing products or services on Dp Bazaar, you represent and warrant that you either own or have obtained all necessary licenses, rights, consents, and permissions to use and authorize the use of any content or materials provided by you on the Platform. This includes, but is not limited to, product images, descriptions, trademarks, logos, and other intellectual property related to your business.
Dp Bazaar (or the Platform) is not responsible for any violations of intellectual property rights by you, the Seller. In the event of such violations, you, the Seller, shall be solely responsible for any legal consequences, claims, or liabilities arising from the use of such content.
While Dp Bazaar reserves the right to monitor, edit, or remove content, it is not obligated to do so. The decision to take action regarding content will be at the Platform's discretion.
By uploading or providing content for listing on Dp Bazaar, you grant the Platform a non-exclusive, royalty-free, worldwide, revocable license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display the content for the purpose of promoting and displaying your products or services on the Platform.
This license allows Dp Bazaar to distribute, display, and share the content in its sole discretion and as needed to operate the Platform, promote products, and engage in marketing activities related to the Platform's business.
You may revoke this license at any time by removing the content from the Platform. However, Dp Bazaar may continue to use or display the content in connection with previously completed transactions or marketing efforts, even after content removal.
(a) The Seller agrees to pay Dp Bazaar all fees associated with the sale of its products and/or services on the Platform, as outlined in Dp Bazaar’s policies and procedures.
(b) Dp Bazaar will remit payment to the Seller for sales of its products and/or services on the Platform, minus any applicable fees, in accordance with Dp Bazaar’s policies and procedures.
As per the standard terms of the Dp Bazaar Network, strict measures are in place to ensure timely delivery and the quality of orders. The Network Participants, including both Seller Network Participants (SNPs) and Buyer Network Participants (BNPs), are required to adhere strictly to the agreed Turnaround Time (TAT) for order fulfillment. The BNP reserves the right to cancel any order that is not delivered within the committed TAT, regardless of whether the order has been dispatched. SNPs must ensure timely updates of order status and delivery milestones on the Dp Bazaar Panel to maintain transparency and operational efficiency.
As per the ONDC Terms and conditions the shopkeeper and the third-party delivery partner chosen by them, shall bear sole responsibility for all delivery-related issues, including delays, damage, loss, or non-fulfillment of orders. Dp Bazaar shall not be held liable for any service deficiencies or disputes arising from the performance of such third-party logistics providers.
(a) The Seller agrees to provide prompt and courteous customer service to customers purchasing its products through the Platform, per Dp Bazaar’s policies.
(b) The Seller agrees to promptly address customer inquiries, complaints, and disputes, working with Dp Bazaar to resolve these issues promptly.
The Seller confirms that they have the necessary licenses, authorizations, and permissions to sell branded items on Dp Bazaar. The seller is responsible for ensuring that listed products comply with applicable laws and do not infringe on third-party intellectual property rights. Dp Bazaar will not be liable for any legal claims arising from such products, and the seller agrees to indemnify Dp Bazaar against any resulting liabilities.
(a) Either party may terminate this Agreement at any time for any reason, with written notice of 30 days.
(b) Upon termination, the Seller agrees to immediately cease using the Platform and remove all listings.
(c) Termination does not affect any obligations regarding payments owed by either party.
d) If either party ends the agreement illegally before the agreed termination date, it will be considered a breach of contract. In cases involving fraud, illegal activity, or misconduct, any subscription fees paid will not be refunded. The affected party may take legal action if needed.
The seller agrees to indemnify and hold Dp Bazaar, its suppliers, and service providers harmless from any losses, costs, liabilities, or expenses resulting from the seller’s breach of this Agreement or violation of any laws or third-party rights.
Dp Bazaar’s liability for any claim related to this Agreement is limited to the payment received for that specific service or month. Dp Bazaar is not liable for lost profits or any consequential damages.

Neither party shall be held liable for any failure to perform under this Agreement due to circumstances beyond their control, including natural disasters, war, terrorism, or government regulations. Affected parties must mitigate the impact and resume performance as soon as feasible.
This Agreement is governed by Indian laws, and any disputes will be resolved in the courts of Bhubaneswar, Odisha, India. Dp Bazaar reserves the right to modify the terms and conditions, and such changes will be communicated via email or notifications on the seller dashboard.
We may update these Terms from time to time. We’ll notify you of significant changes via email or pop-ups. Continued use of the platform means you agree to the latest version.
